These Terms & Conditions ("Terms") govern all quotations, sales, and provision of Services by TechMed Solutions L.L.C-F.Z.. By placing an order, signing a service agreement, or otherwise using our Services, you ("Client") agree to be bound by these Terms.
TechMed Solutions L.L.C-F.Z. supplies medical and industrial equipment, installation, calibration, preventive maintenance, repairs, software development, and system re‑programming, as detailed in our proposal or order confirmation.
Quotations are valid for 30 days unless stated otherwise. A contract is formed when we issue a written order confirmation or commence work following your purchase order.
Delivery terms are FCA (Incoterms 2020) unless specified. Installation dates are indicative; delays caused by site readiness, customs, or force majeure extend the schedule without liability.
The Client shall:
Prices exclude VAT, customs duties, and local taxes unless stated. Invoices are payable within 30 days of the invoice date. Late payments incur interest at 1.5 % per month or the maximum allowed by law.
Hardware carries the OEM warranty (minimum 12 months) unless extended service is purchased. Software is warranted to perform substantially in accordance with documentation for 90 days. Warranty is void if equipment is altered by unauthorised parties.
Preventive maintenance and 24 / 7 support are provided under a separate Service Level Agreement (SLA) or as specified in your contract.
Unless otherwise agreed, custom software is licensed, not sold. TechMed Solutions L.L.C-F.Z. retains all IP rights. Client receives a non‑exclusive, non‑transferable licence to use the software solely with the designated equipment and site.
Both parties must keep confidential any proprietary or sensitive information obtained under the contract for five (5) years after termination.
To the fullest extent permitted by law, TechMed Solutions L.L.C-F.Z.’ total liability for any claim arising out of the contract shall not exceed the amounts paid by Client under the relevant order. We are not liable for indirect, incidental, or consequential damages, including loss of profit, revenue, or data.
Client shall indemnify and hold TechMed Solutions L.L.C-F.Z. harmless from any third‑party claims arising out of Client’s misuse of equipment or software, or breach of applicable laws.
Neither party is liable for delay or failure to perform due to events beyond reasonable control, including natural disasters, war, epidemics, or government restrictions.
Either party may terminate for cause if the other materially breaches these Terms and fails to remedy within thirty (30) days of written notice. Upon termination, Client must pay all outstanding invoices and cease use of software licences.
These Terms are governed by the laws of the Republic of Kazakhstan, without regard to conflict‑of‑laws rules. Disputes shall be settled amicably; failing that, they shall be submitted to the jurisdiction of the courts of Almaty, Kazakhstan.
TechMed Solutions L.L.C-F.Z. may revise these Terms by posting an updated version on our website. Changes will not apply retroactively to active contracts unless mutually agreed.
